1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of services provided by Synoptics LLC ("Synoptics", "we", "us", or "our"), including our AI-powered automation platform, SMS messaging services, web chat, and voice services. By using our services, submitting your phone number, or interacting with any automated communications facilitated by Synoptics, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our services or provide your contact information through any form associated with our platform.

2. Description of Services

Synoptics provides an AI automation platform to small trade businesses, including HVAC, plumbing, and electrical companies ("Clients"). On behalf of our Clients, we facilitate:

• Automated SMS messages, including missed-call text-back notifications
• AI-assisted lead qualification and appointment scheduling via SMS and web chat
• Follow-up SMS communications related to service inquiries
• Voice and other communication services (as offered)

You may be an end user interacting with these services as a customer of one of our Clients, or a Client accessing our platform directly.

3. SMS Communications

By providing your mobile phone number and consenting to SMS communications, you agree to receive automated text messages from or on behalf of the applicable business Client. You understand that:

• Message frequency varies based on your interactions
• Standard message and data rates may apply depending on your mobile carrier plan
• You may opt out at any time by replying STOP to any message
• Consent to receive SMS messages is not required as a condition of purchasing any goods or services

We comply with all applicable laws governing automated messaging, including the Telephone Consumer Protection Act (TCPA). We maintain records of all consents and honor all opt-out requests promptly.

4. User Obligations

When using our services, you agree to:

• Provide accurate and complete contact information
• Use the services only for lawful purposes
• Not impersonate any person or entity or misrepresent your affiliation
• Not attempt to interfere with, reverse engineer, or disrupt the platform or its infrastructure
• Not use the services to send unsolicited commercial messages or spam

5. Intellectual Property

All content, software, technology, and materials comprising the Synoptics platform are the property of Synoptics LLC or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our services solely for their intended purpose. No other rights are granted.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SYNOPTICS DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNOPTICS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Synoptics LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the services, your violation of these Terms, or your violation of any applicable law or regulation.

9. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

10. Modifications to Services and Terms

Synoptics reserves the right to modify, suspend, or discontinue any aspect of the services at any time with or without notice. We may also update these Terms from time to time. We will post the revised Terms on our website with an updated effective date. Your continued use of the services after any modification constitutes your acceptance of the updated Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the services shall be subject to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida.

12. Termination

We reserve the right to suspend or terminate your access to our services at any time, for any reason, including violation of these Terms. You may also discontinue use of the services at any time. Sections 5 through 11 of these Terms shall survive termination.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Synoptics LLC with respect to the subject matter herein, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
